1. General Provisions

1. 1.1. These terms (hereinafter “Terms”) constitute the offer from Getset Group OÜ (hereinafter “GETSET”) to the internet user (hereinafter “User”) to use the GETSET platform.
2. 1.2. GETSET is a web and/or mobile application that allows the User to search for, compare, and order various event organization services (hereinafter “Services”) via an auction-style marketplace (hereinafter “Platform”). The Platform is a database containing services, service providers, materials, and documents sought by the User. It is a database in the sense of copyright law, and GETSET holds the exclusive rights to it. By using the Platform, the User acquires the right to use the database only to the extent necessary to request Services through the Platform.
3. 1.3. The User’s use of the Platform is governed by these Terms, the Privacy Policy, the Cookie Policy, and other relevant GETSET documents (collectively “Regulatory Documents”), as required by the legal relationship.
4. 1.4. By beginning to use the Platform and its features, the User fully and unconditionally agrees to these Terms and the provisions of the Regulatory Documents. If the User does not agree with any provision, they must not use the Platform.
5. 1.5. GETSET may at any time change these Terms and the Regulatory Documents, after notifying the User beforehand. The current version of the Terms is available on GETSET’s website. The User bears the risk of not reading updates. Continued use of the Platform after changes are made constitutes acceptance of the updated version.
6. 1.6. If the User does not agree to the changes made under clause 1.5, they must stop using the Platform.
7. 1.7. The Platform allows the User to submit information about potential demand for Services (hereinafter “Request”), receive and compare offers, and search offers based on parameters set by the User.
8. 1.8. GETSET is an information society service that enables Users to find Service Providers for event organization. GETSET does not itself provide event organization services but accepts and holds payment for Services from Users and transfers it to Service Providers in accordance with these Terms. The agreement for Services is concluded between the User and the Service Provider, and only the Service Provider is responsible for performance.
9. 1.9. Services are provided to the User under a contract concluded through the Platform with a GETSET partner (Service Provider). The partner and the User must not agree to terms that conflict with the Platform’s standard Service contract terms.
10. 1.10. The Platform may be used by a natural person at least 18 years old or a legal entity. A legal or authorized representative may use the Platform on behalf of a legal entity.
11. 1.11. By using the Platform, the User consents to receive promotional messages regarding the Platform and its features. The User may opt out via the Platform’s settings or by following instructions in the message.

2. Use of the Platform

1. 2.1. The Platform is available to the User for personal or commercial use, depending on parameters set by the User. A User requesting Services must register an account.
   1. 2.1.1. The User may send a Request via the Platform to all Platform partners whose specialties, language skills, qualifications, education, and experience match the Request criteria. GETSET automatically selects such partners according to its algorithms. Upon submission, GETSET notifies matching partners, including the User’s name, deadline, and service description. In response, a partner makes an offer or indicates inability to provide the requested Service.
   2. 2.1.2. The Platform selects a partner for the User based on their specialties, skills, qualifications, education, and experience. If a partner cannot fulfill the Request, they may cancel it within 24 hours, and the Request will be offered to other partners.
   3. 2.1.3. The User may cancel the Request until a partner responds. If the User cancels a Request already accepted by a partner, a cancellation fee of 25% of the agreed Service price applies.
2. 2.2. Information about Services (hereinafter “Information”) is provided by Platform partners.
3. 2.3. GETSET is not responsible for the content or accuracy of Information from partners, including Service costs and availability. GETSET does not inspect Service quality or safety and is not liable for defects or breaches. The User independently assesses provider reliability and Service suitability.
4. 2.4. Upon receiving offers, the User compares them and accepts the most suitable. Payment of the agreed amount is made by bank transfer to GETSET’s account. GETSET holds the funds until Service delivery or dispute resolution.
5. 2.5. After Service delivery, the User may rate and review the partner. GETSET may refuse or remove any review at its discretion without explanation.
6. 2.6. The User may dispute incomplete or poor-quality Services by submitting evidence (photos, videos, explanations) within 3 days after Service completion. If no claim is filed within this period, the Service is deemed accepted and payment indisputable.
7. 2.7. If no claim is filed within 3 days after delivery, the Platform deems the Service properly provided and transfers payment to the partner.
8. 2.8. If a dispute is opened within 3 days, the partner will not receive payment until resolution, which may take up to 30 calendar days. GETSET’s Quality Control may request additional information and extend the resolution period.
9. 2.9. If GETSET decides to refund partially or fully after review, the amount is returned to the User’s bank account within 10 days of final decision.
10. 2.10. The Quality Control unit independently evaluates Services, processes the dispute, and offers compromises based on evidence and internal rules.
11. 2.11. If GETSET cannot make a decision or the User disagrees with the resolution, the User may request the provider’s name and contact details and resolve disputes in court under Estonian law.
12. 2.12. The right of withdrawal does not apply to Services fully performed by a partner.
13. 2.13. GETSET may restrict access or block the User’s account for repeated violations.
14. 2.14. By using the Platform, the User consents to processing and sharing of personal data with partners for Service provision as per the Privacy Policy.
15. 2.15. The User may not change the event date independently. A written request must be sent to the Platform’s email; changes are considered individually.
16. 2.16. GETSET is not liable for any damage, lost profits, data loss, or other harm from using or not using the Platform or from providers’ actions or omissions.
17. 2.17. The User is fully responsible for all content placed on the Platform (text, images, videos, etc.) and warrants it does not infringe third-party rights or laws. By posting content, the User grants GETSET a non-exclusive, royalty-free, sublicensable license to use, reproduce, distribute, display, perform, create derivative works, and otherwise exploit it in connection with the Platform.
18. 2.18. All intellectual property rights to the Platform, its content, software, design, and databases belong to GETSET. Use of the Platform does not grant the User any intellectual property rights except the right to use the Platform under these Terms.
19. 2.19. The User may not use the Platform for illegal purposes, to distribute malware, send spam, commit fraud, or otherwise harm GETSET, other Users, or providers, or violate applicable laws.

3. Payment for Services

1. 3.1. The User pays for Services according to the Request and accepted offer using cashless payment. GETSET acts as an authorized payment agent or other intermediary on behalf of the partner and does not guarantee uninterrupted payment functionality.
2. 3.2. After submitting a Request, receiving and accepting an offer, an invoice is issued for the Service cost. The order is final and the contract concluded upon full payment.
3. 3.3. All actions under the User’s account, including payments, are deemed performed by the User. If advance payment is required, the balance must be paid no later than 3 calendar days before the event date, otherwise the advance is non-refundable and the partner decides whether to perform.

4. Other Provisions

1. 4.1. GETSET may require the User to confirm data (e.g., bank details) at any time and request supporting documents; refusal may lead to restricted access.
2. 4.2. Questions or suggestions about the Terms, and complaints about the Platform, may be sent to support or GETSET; a response will be given within 30 days.
3. 4.3. GETSET is willing to attempt out-of-court dispute resolution, but unresolved disputes are handled by Harju County Court under Estonian law.
4. 4.4. The User must indemnify GETSET for all losses, costs, and expenses (including reasonable legal fees) arising from breaches of these Terms, applicable law, or third-party rights.
5. 4.5. GETSET is not liable for failure or delay in obligations due to force majeure (natural disasters, wars, terror acts, fires, floods, epidemics, strikes, network failures, government actions, etc.).

1. DEFINITIONS

• ● “Dashboard” means the service for automatic receipt of event organization orders and forwarding of proposals to the Client, enabling remote interaction between Client and Users, data exchange under the Service, and additional functional capabilities.
• ● “Service” means the GETSET software and hardware package that allows Users to submit event organization requests and automatically forwards them to the Client.
• ● “User” means any person who uses the GETSET web service (web application).
• ● “Client” means a legal entity or sole proprietor providing event organization services (photographers, venue and equipment rental, catering, hosts, DJs, etc.) in accordance with applicable law.
• ● “Request” means information about a potential User demand for event organization services, submitted via the Service.
• ● “Employee” means a person who is a representative of the Client or a third party contracted by the Client and authorized to provide event organization services.
• ● “Partner Web Interface” means the Dashboard functionality accessible to the Client after authentication, enabling remote communication with GETSET and access to usage statistics and data.
• ● “General Terms” means the document for the Client outlining Service usage conditions, requirements, and criteria for interaction between the Parties.
• ● “Statistics Data” means data from GETSET’s automated data storage system used for calculating fees and electronic contract performance.
• ● “Registration” means the process by which the Client receives a username and password to access the Dashboard.
• ● “Reporting Period” means a calendar month: the first period runs from the contract’s effective date to the end of that month; the last runs from the start of the final month to the contract end date.
• ● “Client Validation” means verifying the accuracy of Client-related information and business model.
• ● “Product Validation” means the process ensuring the Service operates correctly in the intended environment.
• ● “Verification Process” means the process assessing whether the Client or Employee meets contract and legal requirements; the result (Verification) is whether the Service is made available to the Client.
• Other terms are defined according to: 1) definitions in the Service, 2) widely accepted internet sources, or 3) Estonian law.

2. SUBJECT OF THE AGREEMENT

1. 2.1. GETSET undertakes, for the fee specified in section 4, to collect, process, and transmit data to the Client and to promote the Client’s services in accordance with the General Terms.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

1. 3.1. GETSET’s Obligations:
   1. 3.1.1. Upon completion of registration and payment of any registration fee, provide the Client with username and password to access the Dashboard.
   2. 3.1.2. Ensure proper operation of the Services and fix errors, excluding disruptions caused by the Client’s equipment.
   3. 3.1.3. Notify the Client of fee changes at least 15 days in advance.
   4. 3.1.4. Provide 24/7 access to the Dashboard, except during scheduled maintenance.
   5. 3.1.5. Notify the Client by email of upcoming maintenance.
   6. 3.1.6. Provide technical and user documentation regarding the Services.
   7. 3.1.7. Inform the Client of updates via the Web Interface.
   8. 3.1.8. Make Statistics Data accessible to the Client.
   9. 3.1.9. Notify the Client of changes to the General Terms within 15 days of publication.
2. 3.2. GETSET may:
   1. 3.2.1. Modify Service content and functionality without the Client’s consent.
   2. 3.2.2. Amend the General Terms as provided.
   3. 3.2.3. Suspend Service access for technical reasons or Client breaches.
   4. 3.2.4. Perform maintenance from 18:00 to 06:00 (EET).
   5. 3.2.5. Delete the Client’s data 15 days after contract termination.
   6. 3.2.6. Reference the Client in marketing materials.
   7. 3.2.7. Use the Client’s data in other GETSET services without restriction.
   8. 3.2.8. Conduct oversight to verify Service quality.
   9. 3.2.9. Assist with placement of marketing materials (PIM).
   10. 3.2.10. Exercise other rights under this Agreement or law.
3. 3.3. Client’s Obligations:
   1. 3.3.1. Not offer services outside the platform or share contacts before order confirmation.
   2. 3.3.2. Provide ordered services on time and with proper quality.
   3. 3.3.3. Use the Services only as permitted and follow documentation.
   4. 3.3.4. Keep login credentials confidential.
   5. 3.3.5. Pay GETSET’s fees as specified in section 4.
   6. 3.3.6. Provide requested documents on registration and tax residence.
   7. 3.3.7. Ensure service quality and data reliability.
   8. 3.3.8. Assist in oversight activities.
   9. 3.3.9. Not disclose Users’ personal data for other purposes.
   10. 3.3.10. Retain data processing consent for at least 5 years.
   11. 3.3.11. Provide services according to User’s criteria.
   12. 3.3.12. Place PIM on Client’s website/social pages as agreed.
   13. 3.3.13. Comply with applicable laws.
   14. 3.3.14. Fulfill all other contractual obligations.
4. 3.4. Client may:
   1. 3.4.1. Have 24/7 access to the Dashboard, excluding maintenance.
   2. 3.4.2. Access Statistics Data any time and remain responsible for credential security.
   3. 3.4.3. Terminate the Agreement if disagreeing with changes by giving 7 days’ notice.
   4. 3.4.4. Exercise any other rights granted herein.

4. FEES AND PAYMENT

1. 4.1. Dashboard registration is free; no subscription fees apply. Payment terms and penalties are detailed in Appendix 1.
2. 4.2. The Client shall pay fees based on the Reporting Period as agreed.
3. 4.3. The electronic report is deemed received on the next business day after submission.
4. 4.4. The Client is deemed to accept the report if no written objections are received within 5 business days.
5. 4.5. The report consolidates invoices issued to Users for fee calculation.
6. 4.6. Fees are automatically deducted from the Client’s account after report acceptance.
7. 4.7. Only Statistics Data from the Web Interface are used for fee calculation.

5. WARRANTIES

1. 5.1. Each Party warrants it has authority to sign and perform this Agreement.
2. 5.2. GETSET warrants that granting Service rights complies with applicable laws.
3. 5.3. Except as expressly stated, no other warranties are provided.

6. CONFIDENTIALITY

1. 6.1. “Confidential Information” includes all business, technical, and user data related to this Agreement.
2. 6.2. Disclosure only with GETSET’s written consent or as required by law.
3. 6.3. Publicly available information is excluded.
4. 6.4. The disclosing Party shall indemnify the other for unauthorized disclosure.
5. 6.5. Confidentiality obligations are perpetual.

7. LIABILITY

1. 7.1. Neither Party is liable for indirect losses (lost profits, data loss, etc.).
2. 7.2. GETSET may suspend access and claim damages for Client breaches.
3. 7.3. The Client indemnifies GETSET against third-party claims arising from the Client’s breaches.
4. 7.4. A €200 penalty applies for offering services off-platform per violation.
5. 7.5. A €1000 penalty and refund of prepayment apply if the Client fails to provide agreed service.
6. 7.6. GETSET is not liable for issues not caused by its fault.
7. 7.7. GETSET’s maximum liability is limited to amounts paid in the last 12 months.
8. 7.8. Penalty payments do not release other obligations.
9. 7.9. Force majeure events, properly documented, relieve liability.

8. EFFECTIVE DATE, TERM, AND TERMINATION

1. 8.1. This Agreement becomes effective upon signing or Dashboard use start and remains in force for one year, automatically renewing unless either Party gives 30 days’ prior notice.
2. 8.2. Termination may occur:
   • – by mutual consent;
   • – unilaterally with 30 days’ notice;
   • – immediately for material breach;
   • – other grounds as provided by law or contract.
3. 8.3. Post-termination obligations on confidentiality and payments survive termination.
4. 8.4. Termination does not waive liability for breaches during the term.

9. MISCELLANEOUS

1. 9.1. This Agreement is governed by the laws of the Republic of Estonia.
2. 9.2. GETSET may amend the Agreement and General Terms; changes take effect 15 days post-publication.
3. 9.3. All properly signed addenda form an integral part of this Agreement.
4. 9.4. Invalidity of any clause does not affect the remaining provisions.
5. 9.5. Assignment of rights requires prior written consent.
6. 9.6. Document exchange via courier, post, fax, email, or Web Interface as agreed.
7. 9.7. Parties promptly notify changes to addresses or details.
8. 9.8. Unsigned web-interface agreements are exchanged by email.
9. 9.9. Disputes are first negotiated, then resolved at Harju County Court.

Appendix 1 to the GETSET Services Agreement

1. SUBJECT OF THE APPENDIX

1. 1.1. GETSET acts as intermediary in contracts, collects payments from Users, and transfers to the Client per Appendix terms.
2. 1.2. GETSET receives funds on behalf and at Client’s expense.
3. 1.3. Fixed service fee covers event organization via the Dashboard.
4. 1.4. Payments by bank transfer to GETSET through a payment agent.
5. 1.5. Fee structure:
   • 1.5.1. Platform commission is 12% of the order amount.
   • 1.5.2. Charged once per received amount.
   • 1.5.3. Payment methods:
     • 1.5.3.1. Prepayment of at least 50% of the order.
     • 1.5.3.2. Full payment before service start.
6. 1.6. After prepayment, the order is confirmed, funds held until performance or dispute resolution.
7. 1.7. Remaining amount paid to Client within 4 business days post-event if no disputes.
8. 1.8. Client receives net amounts after refunds and 12% commission.
9. 1.9. GETSET facilitates payments between Users and Client via banks and payment providers.
10. 1.10. Transactions in euros.

2. TERM OF THE APPENDIX

1. 2.1. This Appendix is effective during the main Agreement term.
2. 2.2. Post-Appendix obligations on confidentiality and payments survive.

3. BILLING

1. 3.1. Billing under Estonian law and issued invoices.
2. 3.2. The platform is not VAT-registered.
3. 3.3. Client notified of tax status changes promptly.
4. 3.4. GETSET not liable for Client’s other taxes.

4. LIABILITY AND PENALTIES

1. 4.1. Parties liable for non-performance per law.
   1. 4.1.1. Client misses obligations: refund prepayment, pay 12% commission and €1000 penalty.
   2. 4.1.2. Platform issues penalty notice within 10 days post-event.
   3. 4.1.3. With valid claim, platform may charge 50% of payment and 12% commission.
2. 4.2. Penalties only on justified written request.
3. 4.3. GETSET not responsible for Client’s legal fees.
4. 4.4. Client must provide information and indemnify for third-party claims.
5. 4.5. Overdue payments incur 0.02% daily penalty, max 10% of unpaid amount.
6. 4.6. GETSET strives to fix errors quickly but does not guarantee error-free operation.

5. CONFIRMATIONS AND WARRANTIES

1. 5.1. Each Party confirms authority and compliance with law and corporate requirements.

6. TERMINATION AND PROCEDURE

1. 6.1. Appendix can only terminate with the main Agreement upon written request.
   1. 6.1.1. Client may terminate if all obligations to Users are fulfilled.
   2. 6.1.2. For breaches, platform issues claim for refund, 12% commission, and 10% penalty.
   3. 6.1.3. Transaction deemed completed if no disputes within 3 days post-event.
   4. 6.1.4. GETSET not liable for off-platform transactions.
   5. 6.1.5. If outstanding balance after prepayment, Client notifies platform and User immediately.

6.2. FORCE MAJEURE AND NOTICE

1. 6.2.1. If performance is impossible due to illness or serious cause, Client notifies platform and User immediately.
2. 6.2.2. Client takes reasonable measures to offer alternative services.
3. 6.2.3. Without agreement, Client reimburses User payment and 12% commission within 5 days.

7. OTHER PROVISIONS

1. 7.1. Appendix terms apply unless inconsistent with the main Agreement.
2. 7.2. The Appendix is drawn up in Estonian.

Effective from 25 May 2024.

This Privacy Policy governs the processing of personal data on the GetSet platform, operated by GetSet OÜ. GetSet provides an online marketplace connecting clients and service providers for events (weddings, birthdays, corporate events, etc.).

1. 1. Data Controller Responsibility
   GetSet OÜ (reg. code: _______, address: _______, email: _______) is the data controller. When processing payments, personal data are passed to the payment operator Paysera, which acts as an authorized processor.
2. 2. Scope of Terms
   These Terms apply to all users of the GetSet platform—both clients and service providers—who register, use, have used, or intend to use the platform.
3. 3. Key Definitions
   
   • "Data Subject" — the individual whose personal data are processed;
   • "Personal Data" — any information that can identify an individual (e.g., name, email, phone number);
   • "Processing" — any operation performed on personal data (collection, storage, transmission, etc.);
   • "Client" — a client or service provider on the platform;
   • "Third Party" — a partner, processor, or other external participant involved in providing the service;
4. 4. Processing Principles
   • Processing is carried out on lawful grounds: contract performance, legal obligations, user consent, or legitimate interest;
   • All data are processed confidentially and protected by technical and organizational measures.
5. 5. Categories of Collected Data
   • Name, surname, email, phone number;
   • Data on orders and services provided;
   • Payment information;
   • Communications and messages on the platform;
   • Feedback and ratings;
6. 6. Processing Purposes
   • Account registration and administration;
   • Order and payment processing;
   • Communication between transaction parties;
   • Service improvement and user experience;
   • Marketing (with consent);
   • Compliance with legal obligations.
7. 7. Data Transfers
   • Paysera and other necessary service providers (as required);
   • Consultants, messaging, analytics, and support partners;
   • Government authorities upon lawful request.
8. 8. Data Retention Periods
   Data are retained as long as necessary for the purposes for which they were collected or as required by law (e.g., accounting records up to 7 years).
9. 9. User Rights
   You have the right to:
   • Find out which data about you are stored;
   • Request correction or deletion of data;
   • Restrict processing;
   • Withdraw consent (e.g., for marketing);
   • Lodge a complaint with the Data Protection Inspectorate (www.aki.ee).
